The Group's Investment & Capital Committee allocates capital centrally, ensuring every venture clears the same twenty-year value test.
Governance-first structure
One code of conduct, independent legal counsel and a protected disclosure channel apply to every company in the Group.
Reinvestment discipline
A standing share of profit funds the Oluwashina Olagbende Foundation and future expansion — growth is funded, not borrowed recklessly.

Capital discipline backed by structure.
Three committees oversee strategy, capital and risk. Every division reports monthly to the Group Executive Committee and quarterly to the Investment & Capital and Audit, Risk & Compliance committees.
Investment & Capital Committee
Screens acquisitions, capital commitments and new ventures against the Group's return and risk thresholds.
Audit, Risk & Compliance
Oversees financial reporting, regulatory filings, regulatory exposure and internal controls across all subsidiaries.
Financial reporting
Each subsidiary maintains audited accounts. Consolidated reporting is prepared under IFRS-aligned standards for internal and lender review.
Cross-border compliance
US vehicle-sourcing and Nigerian operations are tracked separately, with legal counsel in both jurisdictions.

What we watch, and how we manage it.
Currency and commodity exposure
The Group imports vehicles and sources construction inputs, exposing certain divisions to Naira and commodity volatility.
Regulatory and policy shifts
Energy, real estate and agriculture are policy-sensitive sectors. The legal and compliance team monitors changes across federal and state levels.
Execution risk
Multi-site operations require consistent project management. The corporate office tracks milestones through monthly operating reviews.
